Software License Agreement

Perpetual Ownership Model

When you purchase Clipmory, you receive a perpetual, one-time software license. You are never subject to recurring subscription payments to retain access to your software and clipboard history.

1. License Grant

This End User License Agreement ("EULA") is a legal agreement between you ("Licensee") and the developers of Clipmory ("Licensor").

Upon purchasing a license (or during your active 7-day trial), Licensor grants you a non-exclusive, non-transferable, perpetual license to install, activate, and run Clipmory on macOS devices owned or operated by you.

2. License Activations & Permitted Devices

Each Personal License purchased allows for:

  • Up to 2 Personal Mac Devices: You may activate your license key on up to two (2) Mac computers used primarily by you (for example, your work MacBook and your home desktop Mac).
  • License Migration: If you purchase a new Mac or reset your device, you can freely transfer and activate your license on your new machine.
  • Commercial & Freelance Use: The license grants you the right to use Clipmory for commercial, educational, and personal productivity workflows.

3. Software Updates & Versions

Version Inclusions: A purchased license entitles you to all minor updates, performance optimizations, bug fixes, and feature additions for the major release cycle purchased (version 1.x).

Major Version Upgrades: If a future major version (such as v2.0) is released with substantial architectural upgrades, existing license holders will be offered discounted upgrade pricing, while your existing license remains valid perpetually for the version purchased.

4. Restrictions

Except as expressly permitted by applicable law, you may not:

  • Modify, adapt, translate, reverse engineer, decompile, or disassemble any portion of Clipmory.
  • Distribute, publish, share, sell, rent, or lease license keys to third parties.
  • Bypass or attempt to circumvent any license validation or security mechanisms built into the software.
  • Remove or alter any copyright notices, trademarks, or proprietary markings on the software.

5. Intellectual Property Rights

Clipmory is licensed, not sold. All rights, title, copyright, and intellectual property rights in and to the Software (including code, design, icons, and documentation) remain the sole and exclusive property of the Licensor.

6. Termination

This license remains effective indefinitely. Licensor reserves the right to terminate your license if you violate material provisions of this Agreement (such as publicly distributing unauthorized license keys or engaging in software piracy). Upon termination, you must cease all use of the Application and delete all copies.

7. Disclaimer of Warranties & Liability

Clipmory is provided "AS IS" without warranty of any kind. To the maximum extent permitted by applicable law, Licensor disclaims all warranties, express or implied. In no event shall Licensor be liable for damages exceeding the amount paid for the software license.

8. Governing Law & Contact

This Agreement shall be governed by and construed in accordance with applicable copyright and intellectual property laws.
