1. Agreement to Terms

By downloading, installing, accessing, or using Clipmory ("the Application", "Software") or the website at clipmory.app ("Website"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you may not download, install, or use the Application.

2. License Grant & Permitted Use

Subject to your compliance with these Terms and payment of the applicable license fee (or active free trial):

• License: We grant you a non-exclusive, non-transferable, perpetual license to install and run Clipmory on macOS computers owned or controlled by you.
• Commercial & Personal Use: You may use Clipmory for personal, professional, and commercial productivity purposes.
• Fair Device Usage: A single Personal license may be activated on up to 2 personal Mac computers used primarily by the license holder.

3. Free Trial & Purchases

7-Day Free Trial: We offer a 7-day free trial with full, unrestricted access to all features. No credit card or payment information is required to start your trial.

One-Time Purchase: After the trial period, continuous use requires purchasing a Personal lifetime license for $29.99 USD (or local equivalent). This is a one-time charge, not a subscription.

Updates: Your purchase includes all updates, bug fixes, and feature enhancements for the current major version (v1.x).

4. Payments & Merchant of Record

Our order process and payment transactions are conducted by our Merchant of Record, Creem (creem.io). Creem handles all billing, tax compliance (including VAT and sales tax), fraud prevention, and payment processing.

By completing a purchase, you agree to Creem's Terms of Service and Customer Terms in addition to these Terms.

5. 14-Day Money-Back Guarantee

We stand behind the quality of Clipmory. If the software does not work as expected or fails to meet your requirements, you may request a full refund within 14 days of purchase.

6. Restrictions & Prohibited Conduct

You agree not to:

• Decompile, reverse engineer, disassemble, or attempt to derive the source code of Clipmory (except to the extent permitted by applicable law).
• Resell, sublicense, rent, lease, or publicly redistribute license keys without explicit written authorization.
• Modify or create derivative works of the software.
• Use the software in any manner that violates local or international laws.

7. Intellectual Property

Clipmory, including its code, user interface, brand assets, icons, logos, and documentation, is the exclusive intellectual property of the Clipmory developers and is protected by copyright and intellectual property laws worldwide.

8. Disclaimer of Warranties

Clipmory is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, or uninterrupted performance.

9. Limitation of Liability

To the maximum extent permitted by law, in no event shall Clipmory or its creators be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, or business interruption) arising out of the use or inability to use the application. Our total liability shall not exceed the amount actually paid by you for your software license.
